I have a client whose commercial lease is expiring and the client will not be renewing the lease. The lease is silent as to whether the tenant has to restore the premises to a "white box" condition. Because the lease is silent on this issue, does that mean that my client is not obligation to make the changes to the premises? My client would like to avoid the restoration changes as they will be costly.

The short answer to your question is, no. But, the problem comes in with regards to what are the charges for repairs and damages the landlord can charge tenant at time of exit. Sometimes its simply more cost effective to restore a building to white box condition, even if it is not specifically set out in the lease. The situation if fact based.

The landlord is trying to withhold the the tenants security deposit to pay for the cost of the restoration. Other than suing the landlord i guess i should just negotiate a settlement with the landlord. Thanks for your help anyway.

We are just learning about some of this stuff. I was wondering if you could collect attorneys' fees if you did sue the landlord?

I believe that the courts will only award attorney fees if there is a personal injury or the contract states that attorney fees are part of the damages.

I will look into it further. My client's lease was silent on the issue of attorney fees.
