My brother wants to open a subway franchise. The startup costs are $25,000 initiation fees and royalties of 5% of gross sales.

I told him to just open up his own sub shop under his name. If he used the same colors and menu options as subway would he be in violation of Subway? He already talked to Subway and has their brochure. Does that make a difference?

That hinges on whether you are infringing on a common likeness or trademarked appearance.

You can setup a deli that serves similar food as long as its not a knockoff of a franchise.
