I have a business that i want to sell. I know that people will ask for the financial statements to evaluate the business. Do people ask for an ernest money deposit with the non-disclosure? I asked someone for a deposit and he said that people dont charge to look. My response, is that i dont want to just hand out my financials to everyone and then try to defend against breaches by suing people. I figured this way, i would weed-out the tire kickers.

Unless you are selling Google or some other cash cow, no one is going to pay a deposit or a fee to look at your books. Usually an ernest money deposit is held once the parties agree on the price and to hold the business for the buyer so that he can investigate the books, records and all other relevant information prior to purchase.

Sounds like you would give everyone a free look. There needs to be a mechanism so that i am only dealing with qualified buyers. I've decided to ask for proof of funds and an NDA.
