If parties to an agreement sign an agreement but dont close on the agreement, then they update the agreement and sign the new agreement, do they need to rescind the 1st agreement in order for the second agreement to be valid??

Just prepare a termination letter and submit it prior to closing, assuming that there is a provision in the agreement that permits termination of the agreement prior to closing. That way the first contract is termination and the courts will not "merge" the to agreements into one. That could be a mess!

I second Dingo's statement. Also make sure that the termination is delivered in a manner consistent with the agreement and reference the provision in the agreement which permits termination of the agreement prior to closing.
