I am not a licensed real estate broker but I want to take a commission on the sale of a clients business.

If I structure the engagement letter as a "consulting arrangement" will I be able to take a commission from the deal and avoid conflicts?

How is everyone else structuring such transactions?

structure the deal as a consultant thru a consulting company rather than as an attorney thru a law firm.

Make sure you have the client sign an engagement letter stating that there is no attorney client priviege and that you make no legal representations.

It would be better if you had a real estate brokers license, but its not necessary.

Otherwise, act as an attorney and just charge for legal services.
